| Public issue of upto 18,75,000 equity shares of face value of (Rs)10/- each of Infinium Pharmachem Limited ("Infinium" or the "Company" or the "Issuer") for cash at a price of (Rs)135/-* per equity share including a share premium of (Rs)125/- per equity share (the "Issue Price") aggregating to (Rs)25.26 crores ("The Issue"), of which 41,000 equity shares of face value of
(Rs)10/- each for cash at a price of (Rs)121.50/-* each aggregating to
(Rs)0.50 crores will be reserved for subscription by eligible employees [other than promoter and promoter group] of the issuer (the "Employees Reservation Portion") and 94,000 equity shares of face value of (Rs)10/- each for cash at a price of (Rs)135/- per equity share including a share premium of (Rs)125/- per equity share aggregating to (Rs)1.27 crores will be reserved for subscription by market maker to the issue (the "Market Maker Reservation Portion"). The issue less the market maker reservation portion and employees reservation portion i.e. net issue of 17,40,000 equity shares of face value of (Rs)10/- each at a price of (Rs)135/- per equity share including a share premium of (Rs)125/- per equity share aggregating to
(Rs)23.49 crores is herein after referred to as the "Net Issue". The issue and the net issue will constitute 26.95% and 25.01% respectively of the post issue paid up equity share capital of the company.
*The company in consultation with the lead manager, have offered a discount of (Rs)13.50/- per equity share to eligible employees bidding in the employee reservation portion.
The face value of the equity shares is (Rs)10 each and the issue price is
(Rs)135/-. The issue price is 13.5 times of the face value.
