Chairman's Speech

ROOTED IN HERITAGE. DRIVEN BY INNOVATION.

After more than 25 years at Eicher Motors Limited (EML) in various capacities, including as the Managing Director and CEO, I have now stepped into a new role. I am delighted to take over as the Executive Chairman of EML, and am working closely with the board, the team, our partners and extended stakeholders to chart out our course over the next few decades.

On behalf of everyone at Eicher, I would like to extend our deepest gratitude to Mr. Sandilya for his outstanding guidance and leadership for over 50 years. From his early roles in the company to serving as Managing Director, Group CEO, and ultimately as Chairman for 25 years, he has been instrumental in shaping Eicher Motors into what it is today.

At EML, we have two solid businesses - Royal Enfield (RE) and VE Commercial Vehicles Ltd (VECV) - which have both consistently grown and delivered strong performances. Each with its unique strengths and identity, what we've built reflects strong brands, robust balance sheets, operational discipline and enduring global appeal, making them well-positioned for the future.

As we look ahead, my first focus has been on strengthening governance at EML. We have kick-started that process by inducting new board members, enhancing roles and reconstituting committees at the board level. Vinod Aggarwal has been appointed as Vice Chairman (Non-Executive) of EML, while continuing to lead VECV as the Managing Director and CEO. He will work with me in ensuring the highest level of corporate governance at EML.

B. Govindarajan now takes on his enhanced role as Managing Director of EML, while continuing his role as the CEO of Royal Enfield. This is a reflection of our deep confidence in his leadership and ability to drive the company into its next phase of growth.

We are also pleased to welcome Ira Gupta and Arun Vasu as Independent Directors on the board of Eicher Motors Limited, each bringing a wealth of expertise and a fresh perspective.

With these changes, we have reconstituted all our Board committees and appointed an ESG council reporting to the Risk Committee. The ESG council, along with the CSR committee, will spearhead the thinking on all sustainability and social impact for EML, bringing board-level guidance and strategic alignment in these critical areas. Together, these transitions represent a thoughtful evolution in our leadership and governance designed to build a future-ready organisation that is balanced, resilient, and deeply committed to charting out our unique journey and creating long-term value.
