BSE SME IPO of Wagons Learning subscribed 2%

The offer received bids for 1.07 lakh shares as against 46.80 lakh shares on offer.


The initial public offer (IPO) of Wagons Learning received bids for 1,07,200 shares as against 46,80,000 shares on offer, as per BSE data as of 17:00 hours on Friday (02 May 2025). The issue was subscribed 0.02 times.

The issue opened for bidding on Friday (02 May 2025) and it will close on Tuesday (06 May 2025). The price of the IPO is fixed between Rs 78 to 82 per share. The minimum order quantity is 1,600 equity shares. The equity shares will list on BSE’s SME platform.

Initial public issue of offer upto 46,80,000 equity shares comprising a fresh issue of upto 30,80,000 equity shares and an offer for sale (OFS) of upto 16,00,000 equity shares.

About 2,35,200 equity shares will be reserved for subscription by market makers to the issue. The net offers comprises of 44,44,800 equity shares. The offer and the net offer will constitute 30% and 28.49%, respectively, of the fully diluted post-offer paid-up equity share capital of the company.

The company intends to utilize the net proceeds to meet out the working capital requirements of the company, prepayment or repayment of all or a portion of certain outstanding borrowings availed by the company, offer related expense and general corporate purposes.

Wagons Learning provides corporate training, digital learning, and skill development solutions. It operates on a B2B model, offering training and certifications, digital learning solutions, skill development programs, trainer outsourcing, and payroll management services to its clients. The company specializes in corporate training and consulting across a broad range of domains such as sales training, customer service training, soft skills and behavioral training, functional training, and knowledge- or skill-based training solutions for employees of corporates operating in sectors such as automotive, banking and financial services, pharma, and healthcare. The company had total 96 employees.

The company recorded revenue from operations of Rs 33.38 crore and net profit of Rs 5.61 crore for the period ended 31 March 2024.
