DIRECTORS' REPORT
To The Members of
Radico Khaitan Finance Limited
Your Directors present the Fourteenth Annual Report on the performance of
the company alongwith the Audited Accounts for the year ended 31st March,
2000.
DIVIDEND
Due to results not being encouraging in the current year, the Board is
reluctant to recommend any dividend for the year under review.
FIXED DEPOSIT
The Company has not accepted any fixed deposits during the year.
DIRECTORS
Shri Harish Sangtani, Director, retires by rotation at this Annual General
Meeting. Being eligible for re-appointment, offers himself for re-
appointment.
AUDITORS' REPORT
The Auditors' Report on the accounts for the year ended 31st March, 2000 is
self explanatory and needs no further clarification from your directors.
APPOINTMENT OF AUDITORS
The term of M/s. Mahesawari Mukul & Associates, Chartered Accountants,
Auditors of the Company, expires at the conclusion of this Annual General
Meeting and being eligible offer themselves for reappointment.
FUTURE PLANS
You will be glad to know that after the approval at the EOGM, the company
has finalised the plan for setting up Education Centres for imparting
higher end education on Information Technology. The plan includes opening
of 8-9 regional centres by 31st March, 2001 and 24-30 franchisees by March
2002. Medical Transcription Training Institute has already commenced from
August 2000 and a 150 user Medical Transcription Production Centre shall be
operational by December 2001. The first Production Centre with 30 user
would be commissioned in November, 2001.
Your company is in the process of launching its E-Commerce Venture by way
of a Vortal (Vertical Portal) on Fashion which is intended to be the last
word in Fashion. Your company has started a Web Division and the same has
started its activities. It is hoped that by the year 2002-03 the company's
performance will be substantially better.
PARTICULARS OF EMPLOYEES
None of the employees is covered under Section 217(2A) of the Companies
Act, 1956.
ACKNOWLEDGEMENT
Your Directors wish to submit their sincere appreciation of the work done,
co-operation extended by the staff and officers of the company at all
levels and Directors also express sincere thanks to various agencies and
bankers for the help and co-operation extended by them to the company.
Lastly, the Directors also wish to convey their sincere thanks to all the
shareholders for the trust and confidence shown in the Company and its
Board.
