Company History

Bengal & Assam Company Limited is a Public Limited Company Incorporated in year 1947 at New Delhi. The Company is a Core Investment Company, and is duly registered as a NBFC with the Reserve Bank of India, New Delhi. As a Core Investment Company, the Company is holding investments in its subsidiaries, other group companies, money market mutual funds and carries out only
such activities as are permitted under the guidelines issued by RBI for NBFCs.

The Company is engaged in the investment and finance business. It operates in four segments: investment (shares/securities/funding), polymers, cotton yarn and dairy products. The Company's subsidiaries include J.K. Fenner (India) Ltd., Southern Spinners and Processors Ltd., Modern Cotton Yarn Spinners Ltd., Acorn Engineering Ltd., BMF Investments Ltd., Divyashree Company Pvt. Ltd., Panchmahal Properties Ltd. and LVP Foods Pvt. Ltd.

During the year 2011-12, Dwarkesh Energy Ltd. ceased to be a subsidiary of the Company.

JK Lakshmi Cement Ltd., JK Tyre & Industries Ltd., JK Paper Ltd., JK Agri Genetics Ltd., Umang Dairies Ltd., Pranav Investment (M.P.) Company Ltd., Dwarkesh Energy Ltd., Global Strategic Technologies Ltd., Deepti Electronics & Electro-Optics Pvt. Ltd. and PSV Energy Pvt. Ltd. became associates of the Company during the year 2015.

In 2019-20, the Scheme of Arrangement between Florence Investech Limited, BMF Investments Limited (BMF), J.K. Fenner (India) Limited (FIL) and the Company their respective Shareholders for (a) Amalgamation of Florence and BMF with the Company and (b) Exchange of shares of FIL for shares of the Company at the option of shareholders of FIL, became effective on 24th May, 2019. Pursuant to the aforesaid Scheme, 32,59,586 equity shares of Rs 10/- each, issued and allotted to the Members of erstwhile Florence Investech Limited and J.K. Fenner (India) Limited, were listed on BSE Ltd. w.e.f. 6th September, 2019. Further, pursuant to the Scheme of Arrangement, JK Tyre & Industries Ltd., JK Agri Genetics Ltd., Umang Dairies Ltd., Global Strategic Technologies Ltd., J.K. Risk Managers & Insurance Brokers Ltd., CliniRx Research Private Ltd. and Deepti Electronics & Electro-Optics Pvt. Ltd. also became subsidiaries of the Company. BMF Investments Ltd., since amalgamated with the Company, has ceased to be subsidiary of the Company in 2019-20.

In 2023-24, the Scheme of Arrangement amongst the Company, Umang Dairies Limited (UDL), a Subsidiary Company, Panchmahal Properties Limited (PPL), a wholly owned subsidiary Company for Demerger of dairy business of UDL with and into PPL and residual business of UDL into and with the Company with effect from 1 April, 2023 is pending for approval of the Shareholders of the Company and the National Company Law Tribunal, Kolkata and Allahabad Bench.
