Initial public offer of up to 8,043,300 equity shares of face value of Rs.10/- each ("Equity Shares") of Sedemac Mechatronics Limited ("Company") for cash at a price of Rs. 1352 per equity share (including a share premium of Rs. 1342 per equity share) ("Offer Price") aggregating up to Rs. 1087.45 crores through an offer for sale of, in aggregate, up to 8,043,300 equity shares of face value of Rs.10/- each aggregating up to Rs. 1087.45 crores, comprising of up to 45,000 equity shares of face value of Rs.10/- each aggregating up to Rs. 6.08 crores by promoter selling shareholder (as defined hereinafter), up to 67,500 equity shares of face value of Rs.10/- each aggregating up to Rs. 9.13 crores by promoter group selling shareholder (as defined hereinafter), up to 7,930,800 equity shares of face value of Rs.10/- each aggregating up to Rs. 1072.24 crores by investor selling shareholders (as defined hereinafter (collectively the "Selling Shareholders", and such equity shares offered by the selling shareholders, the "Offered Shares") ("Offer For Sale", and such initial public offering, the "Offer"). The offer includes a reservation of up to 7,396 equity shares of face value of Rs. 10/- each (constituting up to [*]% of the post-offer paid-up equity share capital of the company) aggregating up to Rs. 1 crores for subscription by eligible employees (as defined hereinafter) (the "Employee Reservation Portion"), the company in consultation with the book running lead managers, may offer a discount of up to [*]% (equivalent of Rs. 128 per equity share) to the offer price to the eligible employees bidding under the employee reservation portion ("Employee Discount"). The offer less the employee reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer will constitute [*]% and [*]% of the post-offer paid-up equity share capital, respectively . Price Band: Rs. 1,287 to Rs. 1,352 per equity share of face value of Rs. 10 each. The floor price and the cap price are 128.7 times and 135.2 times the face value of the equity shares, respectively. Bids can be made for a minimum of 11 equity shares of face value of Rs. 10 each and in multiples of 11 equity shares of face value of Rs. 10 each thereafter. A discount of Rs. 128 per equity share is being offered to eligible employees bidding in the employee reservation portion.
